    1.     General Provisions

These „General Terms and Conditions“ (hereinafter referred to as „Terms and Conditions“) apply to purchases in the online store, which is part of the website www.ekocisticky.sk. The Terms and Conditions define and clarify the rights and obligations of the seller, which is the company ECOPLANET SLOVAKIA s.r.o., Ivachnová 94, Liptovská Teplá, Company ID (IČO): 50184539 and the buyer. The seller's company conducts business on the basis of a „Trade License Certificate“ issued pursuant to Section 66b Paragraph 1 and pursuant to Section 47 Paragraph 1 in conjunction with Section 47 Paragraph 4 and Section 10 Paragraph 4 in accordance with Section 10 Paragraph 5 of Act No. 455/1991 Coll. on Trade Licensing, as amended. All contractual relationships are concluded in accordance with the legal regulations of the Slovak Republic. If the buyer is a consumer, relationships not regulated by these Terms and Conditions are governed by the Civil Code (Act No. 40/1964 Coll., as amended) and the Consumer Protection Act (Act No. 634/1992 Coll., as amended). If the buyer is a natural person or legal entity doing business under the Trade Licensing Act or other special law, or a state institution and organization (hereinafter referred to as „entrepreneurial buyer“), who in relation to the seller acts within the scope of their commercial or other entrepreneurial activity, relationships not regulated by these Terms and Conditions are governed by the Commercial Code (Act No. 513/1991 Coll., as amended).

    2.     Definitions

Supplier/seller – is a person who, when concluding and fulfilling the contract, acts within the scope of their business name or other entrepreneurial activity. It is an entrepreneur who, directly or through other entrepreneurs, supplies products or provides services to the buyer.

Consumer contract – purchase contract, contract for work, or other contracts if the contracting parties are a consumer on one side and a supplier or seller on the other.

Consumer buyer – is a person who, when concluding and fulfilling the contract, does not act within the scope of their business name or other entrepreneurial activity. It is a natural person or legal entity purchasing products or using services for purposes other than business with these products or services.

Purchase contract – the buyer's order constitutes a proposal for a purchase contract, and the purchase contract itself is concluded at the moment of delivery of the buyer's binding agreement with this proposal and the binding confirmation of the order by the seller. From this moment, mutual rights and obligations arise between the buyer and the seller.

Entrepreneurial buyer – is a person who, when concluding and fulfilling the contract, acts within the scope of their commercial or other entrepreneurial activity.

    1.     Information on the Concluded Contract and Terms and Conditions

By concluding the purchase contract, the buyer confirms that they have read these Terms and Conditions and the Complaints Procedure and agree with them. The buyer is sufficiently informed of these Terms and Conditions and the Complaints Procedure prior to placing the order and has the opportunity to familiarize themselves with them. These Terms and Conditions and the Complaints Procedure form an integral part of the concluded contract.

The contract is concluded in the Slovak language; if circumstances on the part of the seller or the buyer do not prevent it, the contract may also be concluded in another language comprehensible to both parties. The concluded contract is archived by the seller for the purpose of its successful fulfillment and is not accessible to third parties. Information regarding individual technical steps leading to the conclusion of the contract is apparent from the ordering process in our online store, and the buyer has the opportunity to review and possibly correct the order prior to sending it. These Terms and Conditions, as well as the Complaints Procedure, are displayed on the website of our online store, enabling their archiving and reproduction by the buyer.

    3. Order

You create an online order for goods following the procedure described in the „How to Buy“ guide.

    Options for submitting an order:

    1. using the online form on the website www.ekocisticky.sk in the shopping cart,
    2. by phone – our staff are at your disposal at the telephone number 0918 742 738 from 8:00 AM to 6:00 PM,
    3. by email – you can send your order to the email address info@ekocisticky.sk

    Order Requirements

For an online order, it is necessary to fill in the mandatory details (fields marked with a red asterisk):

    1.  name, surname, billing address, Company ID, Tax ID (in the case that the buyer is an entrepreneur),
    2. delivery address, unless identical to the billing address,
    3. phone number,
    4. or additional details (not mandatory).

After receipt of the order by the seller, a confirmation of receipt of the order will be sent to the buyer by email – Binding Order. This order receipt confirmation serves the seller and buyer to verify and check the correctness of the information. If the buyer finds any discrepancies in this confirmation of receipt of the order, they shall promptly contact the seller (see „Contacts“).

4  .  Order and Conclusion of the Purchase Contract

Any of the above forms of order placed by the buyer becomes binding for both parties at the moment the order is confirmed by the seller. A condition for the validity of an electronic order is the completion of all data and details prescribed by the form.

Only persons who are legally capable of performing these legal acts may trade and conclude a contract via remote communication means. The order, as well as all documents related to legal transactions between the seller and an entrepreneurial buyer, must contain the particulars of a commercial document pursuant to Section 13a of the Commercial Code, as amended.

The buyer may modify or change an order created online only by email. In the case of modifying an order that has already been confirmed by the seller, such modified order becomes binding for both parties only at the moment the modification is confirmed by the seller. The seller is not obliged to accept a change to the order once the goods have already been manufactured based on the customer's original order.

In the event of complete cancellation of an already confirmed order by the buyer, even after the aforementioned non-acceptance of a modification of the binding order by the seller, the seller may claim a contractual penalty (cancellation fee) from the buyer in the amount of 30% of the price of the goods. Payment of the contractual penalty does not affect the seller's claim for compensation of any resulting damages.

The ownership right to the ordered goods passes to the buyer after payment of the full purchase price and upon taking receipt of the goods. The goods remain the property of the seller until full payment of the purchase price. The costs of placing the order correspond to standard telecommunication rates.

5 .  Rights and Obligations of the Seller

The seller is obliged to fulfill the binding order and deliver the ordered goods to the specified address of the buyer, unless stipulated otherwise in the purchase contract. Upon taking receipt of the shipment, the buyer will receive along with the goods the delivery note, warranty certificate, and other documents specified in the purchase contract.

The seller has the right to terminate (cancel) the purchase contract if the buyer fails to fulfill their obligation to pay the purchase price and accept the goods.

The seller reserves the right to cancel an order or part thereof in the following cases:

    1.     the goods are no longer manufactured or supplied,

    2.     the selling price has changed significantly.

If this situation occurs, the seller undertakes to contact the buyer without undue delay (by email or phone) to agree on further action (replacement of the ordered goods with other goods, order cancellation, etc.).

6 .    Rights and Obligations of the Buyer

The buyer is obliged to provide truthful and complete information required by the seller, which is necessary for concluding the purchase contract. In the event that the ordered goods are to be delivered to a location designated by the buyer, the buyer is obliged to provide the exact and complete delivery address.

The buyer is obliged to accept the ordered goods and pay the total price. The buyer is made aware of the total price when completing the order before its binding confirmation.

The buyer is obliged to check the condition of the shipment upon receiving the goods. An incomplete or damaged shipment must be reported to the seller without undue delay by email  (we recommend drafting a damage report with the carrier and sending it to the seller). In the event of accepting the shipment, the buyer has no claims against the seller for subsequent claims of a damaged shipment.

7 .   Withdrawal from the Contract

If the selling price specified in the order / purchase contract increases, the buyer who is a consumer has the right to withdraw from the contract without any charges.

A buyer who is a consumer has the right to cancel a sent order or withdraw from the purchase contract within 14 days of receipt of the goods. This right is not primarily intended for resolving product complaints. If the buyer decides to do so, they must deliver the statement of will to withdraw from the contract to the seller no later than the 14th day from receipt of the item. We recommend doing so in written form, which particularly ensures the verifiable nature of the legal act cancelling the contract.

The consumer is obliged to hand over the undamaged goods back to the seller, without signs of use or wear and tear, and with all accessories and documentation. Upon receipt of the returned goods, the seller will refund the corresponding amount to the buyer in an agreed manner no later than 14 days from delivery of the returned goods back to the seller.

In case of non-compliance with the aforementioned conditions, the seller may apply compensation against the consumer for the reduction in value of the returned goods. If the deadline for withdrawal from the contract is not met, such withdrawal from the contract is invalid and the consumer does not acquire any rights to return the goods. The goods shall be delivered by the buyer at their own expense without entitlement to reimbursement for shipping costs. Delivery of returned goods is to the seller's address, Gôtovany 206, 032 14, to the hands of the seller.

The consumer cannot withdraw from the purchase contract in the following cases:

    1. for provided services if their performance was initiated with the buyer's consent before the expiration of the 14-day period from taking receipt of the performance,
    2. for the supply of goods or services whose price depends on fluctuations in the financial market independently of the seller's will,
    3. for the supply of goods customized according to the buyer's requirements.

If the buyer is an entrepreneur, the provisions of Section 436 et seq. of Act No. 513/1991 Coll. (Commercial Code), as amended, shall apply. The buyer may be offered an agreement to terminate the purchase contract depending on the condition of the returned goods, the expired warranty, and the current price of the returned goods. The condition of the goods will be assessed by the seller. If no agreement on mutually acceptable conditions is reached, the goods will be returned at the buyer's expense. The seller is entitled to charge the buyer for any additional costs incurred.

    8.       Price of Goods

Prices of goods are listed on the seller's website. The price indicated in the price list at the time of concluding the purchase contract applies as the price when concluding the purchase contract between the seller and the buyer. Product prices are valid at the time of order and are final, i.e., including VAT, or all other taxes and fees that the consumer must pay to obtain the goods.

In the event of special custom-made goods or goods not in stock, an advance payment may be required. If the ordered goods are not accepted by the customer, a cancellation fee will be deducted from the refunded advance. The amount of the cancellation fee may be up to 100% of the paid advance. If the price of the goods is not known at the time of concluding the purchase contract, it will be determined by mutual agreement later, whereas in this case the consumer buyer is obliged to notify the seller within 2 days of verifiable receipt of the purchase price proposal whether they accept the notified purchase contract or not. In the event that the buyer does not notify within the aforementioned period whether they accept the proposed purchase price or not, this expression is deemed consent to the seller's price and offer.

    9. Method and Costs of Shipping

The method of delivering the goods depends on the buyer's choice, where the buyer selects the delivery method in the order (for details, see „Delivery Terms“).

    Delivery to destination:

Based on the buyer's request, the ordered goods will be delivered to the specified place under the agreed conditions that form part of the purchase contract, and within the pre-agreed timeframe. The buyer is obliged to ensure the acceptance of the goods within the pre-agreed timeframe personally or through an authorized person, who must present the appropriate authorization upon receiving the goods.

    Personal pickup:

The buyer may pick up the goods via personal pickup within the pre-agreed timeframe at the relevant dispensing location of the seller (see „Contacts“).

    10 .  Payment Terms

The buyer chooses the payment method in the order:

    1. Payment by bank wire transfer in the full amount of the purchase price. For details, see „Payment Terms“.

    11. Warranty Terms

Warranty terms for the goods are governed by the Complaints Procedure (version 170101) of the seller and applicable legal regulations. This Complaints Procedure is effective from 01.01.2017. This Complaints Procedure is available at www.ekocisticky.sk.

    12  .  Out-of-Court Dispute Resolution

The consumer (buyer) is entitled to use out-of-court proceedings for dispute resolution. The Slovak Trade Inspection is the competent authority for resolving disputes in such a case. The website of the Slovak Trade Inspection is: http://www.soi.sk.

    13 .   Final Provisions

These „General Terms and Conditions“ are valid and effective as of 01.01.2017. The seller reserves the right to amend the „General Terms and Conditions“ without prior notice.
